Join us in shaping the future of energy. Job Summary: We are seeking a seasoned attorney with a minimum of 5 years of experience to join our Legal team supporting the Renewables business. This role will focus on mergers and acquisitions (M&A), corporate governance, finance (including tax equity), and ongoing shareholder engagement following asset rotation. The ideal candidate will bring strong transactional and corporate law expertise, a solid understanding of renewable energy finance structures, and the ability to work cross-functionally in a dynamic environment. This position is based in Downtown Houston with a hybrid work model of 3 days in the office and 2 days from home. Key Responsibilities: Senior Counsel – M&A, Finance and Corporate provides a broad scope of support to the LCG legal department in support of Renewables NA. The Senior Counsel - M&A, Finance and Corporate’s responsibilities include, among other things: • Lead and support legal aspects of M&A transactions, joint ventures, and strategic investments in the renewables sector. • Draft, review, and negotiate a wide range of corporate and transactional documents, including purchase agreements, shareholder agreements, and operating agreements. • Manage entity formation, corporate records, resolutions, and other governance documentation. • Provide legal support for tax equity transactions, including structuring, negotiation, and documentation. • Serve as the legal interface with new shareholders’ post-asset rotation, ensuring smooth transitions and ongoing compliance with shareholder agreements. • Advice on corporate structure, compliance, and risk mitigation strategies. • Collaborate with internal teams including finance, development, operations, and external counsel. • Other tasks and projects as assigned Requirements: • Juris Doctorate from ABA accredited law school. • A minimum of 5 years of experience of progressively responsible experience in renewables energy, with a strong focus on M&A, corporate law, and renewable energy finance. • Experience with tax equity structures and shareholder relations preferred. • Strong communication skills and a proven ability to advise business managers on complex legal matters. • Proven responsibility and organizational and time-management skills. • Attention to detail and accuracy. • Excellent written and verbal communication skills. • Solid computer skills and in-depth knowledge of relevant software, such as MS Office Suite. • Integrity, good judgment and strong decision-making abilities. • Careful handling of confidential information. • Strong information-gathering and information-monitoring skills. • Initiative and flexibility; and • Respectful of others and having excellent teamwork skills.
