They are seeking an experienced Corporate Paralegal to join their Corporate Department in Minneapolis, responsible for managing legal documentation and client communications throughout various corporate transactions.
Responsibilities
- Entity formation, dissolution, conversions and mergers
- Manage stock/membership units, foreign qualifications and state/local registrations
- Draft ancillary closing documents and corporate resolutions, prepare for closings and create closing books for merger and acquisitions
- Manage client communications throughout the transaction and ensure all legal requirements are met with meticulous attention to detail
Skills
- At least one to three years of experience in more than one area of transactional practice (preferably corporate law and mergers and acquisitions)
- Willingness to learn the fundamentals of corporate and securities work
- Strong attention to detail and the ability to manage a diverse and busy workload
- Ability to work independently and prioritize tasks effectively
- Excellent communication skills, both written and verbal
- Client service driven mindset
- Strong organizational skills and the ability to manage multiple projects simultaneously
- Proficiency in Microsoft Office Suite
- Experience with legal software is a plus
